FERDINAND ADADZI, Head of Corporate & Finance Practice and partner of AB & David, has launched his maiden book titled, ‘The Modern Principles of Company Law in Ghana’.
The book addresses company law principles, the legislative changes introduced under the new Companies Act, 2019 (Act 992), and modern corporate law issues and trends.
Speaking at the launch Wednesday in Accra, Professor Kofi Abotsi, the reviewer, said the author has chosen a critical moment to release the book to guide law students and practitioners in Ghana.
He said, “This book synthesises the core principles of the new concept that is contained in the new statutes and discusses it with certain dexterity which makes the concept easy to understand, including the inter-relationship with the various statutory provisions.”
Prof. Abotsi further stated that the book, in terms of its structure, begins with elementary topics and themes such as the constitution, promoters, pre-incorporation contract, and capacity, among others, which further aids in the reconstruction of foundational but topical issues in company law.
The book also touched on funny issues on capitalisation, equity in capitalisation through shares, and debt financing in ventures.
He added that the book covered all the key topics that were covered under Act 992, recommending that its treatment of the principles and effects of corporate governance as a composite topic made it a truly handy material.
Felix Addo, Chairman for the event, in a keynote address celebrated the author for being the first to produce a reference book that dealt comprehensively with the recently enacted business laws which brought the three interrelated laws together, namely the Companies Act 2019 (992), the Corporate Insolvency Restructuring Act, 2020 Act (1015) and the Borrowers and Lenders Act 2020, Act (1052).
He said, “‘The Modern Principles of Company Law in Ghana’ is a comprehensive reference document which takes out the challenges of understanding the enactment of the new laws. It also gives the explanations of the principles of the new law and gives brief facts of cases and extract of relevant judgment.”
Present at the event was the Attorney General and Minister for Justice, Godfred Odame; and some retired Justices of the Supreme Court including Jones Victor Mawulorm-Dotse; Minister of Information, Kojo Oppong Nkrumah; President of the Ghana Bar Association, Anthony Forson and other government officials.
